Acceptable Use Policy.
This Acceptable Use Policy ("AUP") governs the use of the Counterpass platform and is incorporated by reference into the Counterpass Terms of Service (CP-LEG-01).
Counterpass is built for trade compliance and shipment risk intelligence. The AUP exists to keep the platform fit for that operational purpose, to protect customers, and to keep Counterpass aligned with applicable law.
Permitted use
Internal trade compliance, customs review, sanctions screening, shipment risk scoring, case file assembly, and audit recordkeeping by Customer's Authorized Users.
Engaging Counterpass against Customer's own shipment, supplier, vessel, and counterparty data, or data Customer is lawfully authorized to process.
Prohibited use
Use of the Service to facilitate the evasion of customs duties, sanctions, export controls, or anti-money laundering obligations.
Use of the Service to plan, conceal, or assist in the movement of contraband, trafficked goods, or any unlawful cargo.
Reverse engineering, decompiling, disassembling, or attempting to extract the source code, model weights, or scoring methodology of the Service, except to the extent expressly permitted by applicable law.
Scraping, crawling, or otherwise extracting data from the Service through automated means outside of supported APIs and export tools.
Penetration testing, vulnerability scanning, or other security probing of the Service without prior written authorization.
Uploading viruses, worms, malware, or any other code intended to disrupt, damage, or limit the functioning of the Service.
Sharing account credentials or providing access to the Service to any party other than the Customer's Authorized Users.
Using the Service to build, train, or benchmark a competing trade compliance or shipment risk product.
Uploading personal information without an appropriate lawful basis, or uploading data in violation of any contractual or regulatory obligation owed to a third party.
Responsible operational use
Counterpass produces risk scores and case files designed to support, not replace, human compliance review. Customer is responsible for the human review and final disposition of each case.
Customer shall maintain reasonable internal controls for the use of the Service, including role separation, override review, and periodic audit log review.
Enforcement
Counterpass may investigate suspected violations of this AUP and may suspend access to the Service for any Authorized User or tenant engaged in conduct that violates this AUP or applicable law.
Material or repeated violations may be grounds for termination of the applicable Order Form for material breach.
